Welcome to Friendly Foods. These Terms of Service (“Terms”) govern your access to and use of the Friendly Foods website at friendlyfoods.com and the Friendly Foods platform (collectively, the “Service”), operated by Friendly Foods (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Overview of the Service

Friendly Foods is a platform that connects local home cooks (“Cooks”) with customers (“Customers”) for affordable, routine meal delivery. The Service provides Cooks with tools to plan menus, manage ingredients, coordinate deliveries, and operate a home-based meal business. Customers can subscribe to receive regular meal deliveries from Cooks in their local area.

Friendly Foods is a technology platform—we do not prepare, cook, or deliver meals ourselves. The meals are prepared by independent Cooks who use our platform.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Terms for Customers

Orders & Subscriptions

When you place an order or subscribe to meal deliveries through the Service, you agree to pay the listed price for meals, applicable delivery fees, and any taxes. Prices are set by individual Cooks and may vary. Subscription schedules, menu selections, and delivery windows are established between you and your Cook through the platform.

Cancellations & Modifications

Cancellation and modification policies are communicated through the platform and may vary depending on the Cook and the timing of your request. Please review the applicable deadlines for changes to upcoming deliveries.

Allergens & Dietary Information

While Cooks provide ingredient and allergen information to the best of their ability, meals are prepared in home kitchens that may handle common allergens. If you have severe allergies or specific dietary requirements, it is your responsibility to communicate those clearly and verify suitability with your Cook before ordering.

5. Terms for Cooks

Compliance & Licensing

As a Cook on the platform, you are responsible for complying with all applicable local, state, and federal laws and regulations regarding food preparation and sale, including obtaining any required permits, licenses, and certifications (such as cottage food or home kitchen permits). Friendly Foods does not guarantee that your operation is compliant with local regulations.

Food Safety

You agree to maintain safe, hygienic food preparation practices. You are solely responsible for the quality, safety, and accurate labeling of the meals you prepare and deliver through the Service.

Pricing & Payments

You set your own meal prices within any guidelines established by the platform. Payments are processed through our third-party payment provider, and payouts are made according to the schedule described in your Cook dashboard. Friendly Foods may charge platform fees as described on the Service.

Independent Contractor Status

Cooks are independent contractors, not employees of Friendly Foods. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and Friendly Foods.

6. Payments & Fees

All payments are processed through third-party payment providers. By providing payment information, you authorize us and our payment processors to charge the applicable amounts. You are responsible for any fees charged by your financial institution. All fees are stated in U.S. dollars unless otherwise noted.

7. Intellectual Property

The Service, including its design, text, graphics, logos, icons, and software, is the property of Friendly Foods or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Service without our prior written consent.

Cooks retain ownership of their recipes, menu descriptions, and original content submitted to the platform. By posting content on the Service, you grant Friendly Foods a non-exclusive, royalty-free license to use, display, and distribute that content in connection with operating the Service.

8. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Impersonate any person or entity, or misrepresent your affiliation
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service
  • Scrape, crawl, or use automated means to collect data from the Service
  • Post false, misleading, or deceptive content, including inaccurate allergen information
  • Harass, abuse, or harm other users of the Service
  • Circumvent or manipulate the platform’s fee structure or payment systems

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Friendly Foods does not guarantee the quality, safety, or legality of meals offered by Cooks, the accuracy of menu or allergen information, or the reliability of any Cook or Customer on the platform. Friendly Foods is not a food establishment and does not inspect, prepare, or handle food.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRIENDLY FOODS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO FRIENDLY FOODS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Friendly Foods and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved informally by contacting us at support@friendlyfoods.com. If informal resolution is not successful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may also delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, though provisions that by their nature should survive (including limitations of liability and indemnification) will remain in effect.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
